Change of Corporate Name
Under the Share Purchase Agreement (the “SPA”) which Sumitomo Pharma Co., Ltd. (“SMP”), our current sole shareholder, has entered into with MEDIPAL HOLDINGS CORPORATION (“MEDIPAL”) as of November 30th, 2022, all of the shares of our company held by SMP would be transferred to MEDIPAL. Sumitomo Pharma Food & Chemical Co., Ltd. (Head Office: Osaka, Japan; President and CEO: Nobuyuki Hara) announces the change of corporate name as a member of MEDIPAL Group as below:

i. There will be no change in our legal personality, businesses, services, sales offices or telephone/fax numbers due to this change.
ii. Since there will be no change in our legal personality, agreements that have been/will be executed by March 31st, 2023 will be still effective on and after April 1st, 2023.
Note) The above content is based on the premise that all the closing conditions of the SPA concluded between SMP and MEDIPAL are satisfied. We may contact you separately if there is any change from the above.
